We will discuss provisions of CCIOA in the nonprofit act that provide limited immunity to volunteer leaders. We will then discuss indemnification as mandated by state law and most governing document provisions.

Finally, we will discuss directors and officers insurance policies, why they are necessary, and what claims are commonly excluded from their coverage. We will also discuss the legal doctrine known as the "business judgment rule" and address common best practices to minimize individual liability.
